Dear Stone Ridge Member,
Pursuant to Article I, Sections 1.09 and 1.10 of the Code of Regulations for the Stone Ridge Owners’ Association, this letter is official notice of a Special Meeting of the Members to be held:
Date: Monday, June 23, 2025 at 6:30 PM
Location: Clearcreek Township Government Center

This meeting has been called by the Board of Trustees in response to concerns raised by some members during the Annual Meeting held on April 8th, 2025.
PURPOSE OF THE SPECIAL MEETING
The sole agenda item for this Special Meeting is to consider and vote on the potential removal of one or more Trustees who were elected prior to the 2025 Annual Meeting, specifically Ivan Kabanov and Jack Poore.
“Any trustee may be removed from the Board, with or without cause, by the Members of the Association, at any annual or special meeting of the Members if in the notice of such meeting the intention to consider such removal is specifically stated.” – Article II, Section 2.06
QUORUM
In accordance with Section 1.12 of the Code of Regulations, quorum is required at any meeting of Members. Quorum consists of Members holding at least ten percent (10%) of the total voting power of the Association, which is 34 Members. Members present at the meeting and proxies will count toward quorum.
If a quorum is not achieved, the meeting may be adjourned and reconvened at a later date.
VOTING PROCESS
- The Owner or Owners of each Lot shall be entitled to one vote, see Article I, Section 1.05
- Members must be current on all assessments per Article II, Section 2.02(b)
- Votes may be cast in person or by written proxy
- Voting will be conducted by secret written ballot
- Votes will be counted in the meeting
PROXY VOTES
Proxy forms must be submitted no later than 5:00 PM on June 22nd, 2025. Proxy forms will not be
accepted at the special meeting. A blank proxy form is enclosed for your use.
“Votes may be cast in person or by proxy… Proxies must be in writing and filed with
the secretary of the Association prior to the appointed time of each meeting.”

REMOVAL
As defined in Article II, Section 2.06 the removal of a Trustee requires the aƯirmative vote of at least
two-thirds (2⁄3) of the Members present and entitled to vote.
FILLING VACANCIES
If a removal vote is successful, vacancies on the Board will be filled by a majority vote of the
remaining Trustees.
“A vacancy in the Board may be filled by a majority vote of the remaining trustees,
even though they are less than a quorum.” – Article II, Section 2.08

- Only the business announced in this notice will be conducted at the meeting
- Guests are welcome to attend, but only Members may vote
